What Are bStocks? Ownership, Backing and Self-Custody
Understand the bStocks certificate structure, 1:1 share backing, ADGM boundary, Multiplier, BNB Smart Chain withdrawals and self-custody risks.

bStocks are tokenized securities that provide exposure to the price and specified economic benefits of US shares through blockchain-based certificates. They are not “ordinary shares inside a wallet.” Binance’s current guide says bStocks are issued by BTech Holdings Limited, classified as certificates representing certain financial instruments, and backed 1:1 by corresponding US shares held at a regulated custodian.

Legal structure: a certificate, not a share
A bStock holder is not directly entered in the listed company’s shareholder register. The token represents a certificate interest linked to securities held within the issuer’s arrangement. It does not automatically create company voting rights, direct attendance rights at shareholder meetings or legal title recorded by the company in the holder’s name.
The product depends on three connected layers:
- Issuer: BTech Holdings Limited issues the certificate.
- Custody: a regulated custodian holds the corresponding US share described as backing.
- Infrastructure: Binance Spot, conversion, deposit, withdrawal and BNB Smart Chain move or account for the token.
Each layer adds its own issuer, custody, operational, technology and legal risks. Compare this structure with brokerage-held beneficial ownership and a leveraged derivative in the three-product comparison.
ADGM boundary and account eligibility
Binance’s current disclosure says bStocks are offered through an approved prospectus in ADGM and are not offered in another jurisdiction. No public offer is made outside ADGM. Eligible users in permitted jurisdictions may be able to access secondary-market trading, while US persons are excluded under the stated terms.
That wording does not establish availability for a specific reader. Check the KYC country, product eligibility result, local rules and documents shown inside the verified account. A public Academy page, another user’s screenshot or a VPN location is not evidence of personal access. Do not use false residency, borrowed documents or another person’s account to bypass a restriction.
What 1:1 backing does and does not mean
The 1:1 backing statement means the issuer says it maintains a corresponding underlying share for the relevant token unit. Binance says this backing can be reviewed through its Proof of Collateral page.
It does not guarantee:
- that the token price equals the exchange-listed share every second;
- zero spread or unlimited liquidity at every hour;
- uninterrupted conversion, deposits or withdrawals;
- absence of issuer, custodian or smart-contract risk;
- bank deposit insurance or the protections of a local brokerage account;
- a particular recovery outcome if an involved entity becomes insolvent.
Proof of Collateral can provide evidence about reported backing, but it does not by itself explain legal priority, claims procedure or recovery treatment. Those questions require the prospectus, Terms of Use, Exchange Rules, Admission to Trading Notice, Minting and Redemption Product Terms and Risk Warning.
Three ways to obtain bStocks
1. Tokenize during a stock order
An eligible account can select a supported share in Trade → Stock and enable the token-conversion option before confirming. After the share order fills, the result is converted into the corresponding bStock. Read the “Receive” line on the preview so that a certificate is not mistaken for a brokerage-held share.

2. Convert an existing eligible share
The current guide describes a Token Conversion feature that can convert an eligible Binance Stocks holding into the corresponding bStock at a 1:1 ratio without a conversion fee. Availability can pause for corporate actions or maintenance. The reverse route may also be available to eligible users under current terms.
Stocks can be recorded at greater precision than bStocks. Binance’s guide says the token supports up to eight decimal places, so a residual beyond supported precision can remain as a rounding difference. Review the final amount instead of assuming every decimal converts.
3. Buy directly on Binance Spot
Eligible users can trade a supported token under Spot → bStocks, generally 24/7. Confirm the ticker, contract, order-book depth, bid/ask spread and jurisdiction status. When the underlying US exchange is closed, token price discovery and liquidity may behave differently from the last conventional stock quote.
Round-the-clock trading is an access schedule, not a promise of equal liquidity, instant redemption or identical price quality at every hour.
Dividends, splits and the Multiplier
bStock dividends are not normally distributed as cash. Binance says the net dividend value is reinvested into the underlying share and the token balance rises proportionally through the Multiplier. The current guide states that US dividend withholding is presently applied at 30% before reinvestment. That product treatment and any local tax result can change and should not be read as personal tax advice.
A stock split or another corporate action can also change the Multiplier, token balance and conversion ratio. Deposits, withdrawals or conversion may pause during processing. Keep the notice, pre-event balance, post-event balance and applicable withholding record rather than relying only on today’s token quantity.
BNB Smart Chain withdrawals and contract controls
bStocks are BEP-20 tokens, and the current guide identifies BNB Smart Chain as the supported withdrawal network. Sending to an incompatible chain or contract can result in permanent loss. A withdrawal can also have a network fee and token-specific minimum.
Self-custody provides wallet-level control outside the exchange account, but shifts responsibility for private keys, seed phrases, addresses and approvals to the holder. It does not mean the token is free from issuer controls. Applicable law, sanctions screening and smart-contract rules may allow an address to be restricted, blacklisted or paused.
Use the contract address supplied by Binance, not an advertisement or search snippet. Confirm both the sending and receiving network, keep enough BNB for network fees where required, and consider a small test transfer when practical. Never reveal a seed phrase to a website, bot or support account.
Checklist before deposit or withdrawal
- Is bStocks officially enabled in the verified account and jurisdiction?
- Does the ticker and contract address match the Binance product page?
- Is BNB Smart Chain selected at both ends?
- Are the minimum amount, network fee and expected token balance clear?
- Are conversion or withdrawals paused for a corporate action?
- Is the receiving wallet able to display the correct contract?
- Are purchase, conversion, transfer, Multiplier and disposal records preserved?
Who may find bStocks unsuitable?
A reader seeking direct shareholder registration, a familiar domestic investor-protection regime or simple tax reporting may find the certificate and blockchain layers unnecessarily complex. If issuer, custody, prospectus, wallet and jurisdiction risks cannot be evaluated separately, “24/7” and “1:1” are not enough information for a decision.
